The Associate General Counsel Attorney position is responsible for working with attorneys and staff in the Office of General Counsel and the Transactional Legal Support Group in providing legal services to support the business operations of Duke Energy Corporation and its subsidiaries, including Piedmont Natural Gas Company, Inc. and other entities operating as part of the Natural Gas Business Unit (collectively, the “Company”). The Associate General Counsel will support the business operations of the Company by preparing, assessing, negotiating, and applying contracts in connection with various commercial transactions, including particular emphasis on support of real estate transactions and engineering, construction, and procurement contracts. The Associate General Counsel will interface with many different individuals with a broad range of experience and expertise, both internally and externally to the Company. The Associate General Counsel will work under the general direction of a more senior attorney working within the Office of the General Counsel. Responsibilities Provide legal advice to key business units and project teams of the Company, including the preparation, interpretation, negotiation, and application of contracts, correspondence, agreements, and other legal documents. Support the Company’s Land and Real Estate teams in negotiating a significant volume of easements, leases, licenses, encroachment agreements, and purchase and sale agreements with a broad range of counterparties and limited supervision, guidance, and outside counsel support. Support the Company’s Supply Chain, Sourcing, and project teams in all phases of the contract life cycle for engineering, procurement, construction, and other specialized services, including bid creation and assessment, negotiation and revision of terms and conditions, and implementation and enforcement of contract provisions. Support the Company’s Natural Gas Business Unit in various commercial matters related to renewable natural gas transactions, natural gas supply and transportation agreements, customer and supplier agreements, field operations, unregulated services, and stakeholder engagement and relations. Consult with more senior attorneys within the Office of General Counsel on legal issues with significant value, or which may have economic, political, regulatory or community relations implications for the Company. Revise and maintain current contract templates and negotiation standards and processes; ensure accurate and appropriate implementation of those standards and processes to protect the Company from unnecessary risks and liabilities. Frequently meet with and counsel individuals within the Company. Remain current on legal trends, laws and regulations and proactively communicate information to relevant business units. Research and monitor federal and state law and regulations affecting the Company. Provide or assist with legal and compliance training to different business units. Work with and manage outside counsel to maximize efficiency and optimize outcomes. Work on special projects or other assignments as directed to further goals of the Office of General Counsel. Working Conditions This position will be based in Charlotte, North Carolina. Work will be performed from both remote and onsite locations after the onboarding period. However, hybrid employees should live within a reasonable commute to the designated Duke Energy location. Periodic, infrequent travel within the United States will be required. Required/Basic Qualifications Bachelor’s Degree. Doctor of Jurisprudence degree (JD) from an accredited law school. Licensed to practice law in North Carolina or eligible for admission under North Carolina Bar rules. Seven (7) years minimum experience practicing law. Desired Qualifications Ten (10) years minimum experience practicing law. Seven (7) or more years of real property/real estate experience including drafting and negotiating easement agreements. Experience drafting, reviewing, and negotiating complex commercial contracts. Experience representing public utility companies in various legal matters. Knowledge of Duke Energy and its various business operations including Piedmont Natural Gas Company, Inc. Energy industry experience (natural gas, electric). Regulated utility industry experience. Licensed to practice in North Carolina. Experience in litigation and dispute resolution including condemnations, mediations, and/or drafting cease and desist letters and settlement and release agreements. Experience supporting issues related to title, permitting, zoning and other land use issues. Strong oral and written communication skills. Exceptional judgment, decision making, and problem solving abilities. Ability to convey complete and clear legal analysis supporting practical, strategic, and actionable legal recommendations in complex business situations. Ability to gain the confidence and respect of management and clients. Ability to work with a variety of personalities and desire to be part of a team. Ability to function effectively and efficiently in a fast-paced and dynamic environment and to prioritize conflicting demands from multiple business clients. Ability to identify unique issues and determine whether to address independently or collaborate with relevant subject matter experts.
