Responsibilities:
· Oversee and coordinate all financial, accounting, and internal control activities at this NASDAQ-traded medical device company, with international commercial activities in more than 70 countries, including the consolidation of five wholly owned subsidiaries in five different currencies.
· Oversee all SEC reporting and compliance activities for the Company, including preparation of Form 10-K, 10-Q, proxy statements, and other documentation to support the Company’s compliance with Sarbanes Oxley, etc.
· Supervise an international accounting and finance team or 10 to 12 professionals in the United States and European Union
· Oversee the financial and accounting systems of the Company, improving and upgrading the platforms as the Company grows. These include the Company’s ERP system (Microsoft Great Plains), human resource and payroll system (Paylocity), accounts payable and order to procurement (Microsoft Great Plains), and stock-based compensation system.
· Overall responsibility for the preparation, consolidation and analysis of the Company’s annual operating and capital budget. Maintain and continually update a long-term (5-year) operating plan and cash flow forecast.
· Key executive leader, with attendance at Board of Directors’ and Audit Committee meetings. Member of the six-person Executive Leadership Management team who determine strategic direction for the Company.
· Primary Company contact for external parties including auditors, internal control consultants, banking relationships, Nasdaq, legal counsel and Securities and Exchange Commission compliance.
· With the CEO, serve as outward facing investor relations team, making presentations to investors at healthcare conferences and holding meetings to strengthen analyst and investor interest in the stock.
· Provide background information and establish data rooms to support the Company’s due diligence for equity raises and bank debt commitments. Lead the competitive negotiation of all Company debt agreements.
· Review all international distributor contracts and approve any deviations to the standard distribution template.
· Monthly/Quarterly reviews of individual subsidiary and overall company performance against the budget.
· Member of Investment Committee overseeing 401(k) Plan compliance.
· Review and approve Executive Vice President of Sales and Marketing’s monthly commission.
· Monitor the Company’s progress in making improvements to its system of internal controls
· Work closely with HR on employment policies and practices and development of the employee benefit programs.
Qualifications:
