Ethics & Compliance Training Specialist conducts needs analyses and designs and implements ethics, business conduct and compliance training and development programs. Interfaces with multiple functional groups outside the ethics and compliance office to ensure curriculum content and methods meet legal, regulatory and corporate objectives. Being an Ethics & Compliance Training Specialist participates in the development and implementation of classroom, web-based and other media training programs for all employees designed to promote knowledge of the corporate code of conduct policies, legal and regulatory requirements of the organization's business. Coordinates with and ensures a uniform level of ethics and compliance training among operating units of the corporation. Additionally, Ethics & Compliance Training Specialist coordinates both internal and external resources required by the program. Provides technical expertise, evaluates content and makes recommendation on incorporating all facets of corporate training programs into the business operation. Requires a bachelor's degree in area of specialty. Typically reports to a manager or head of a unit/department. To be an Ethics & Compliance Training Specialist typically requires 4 to 7 years of related experience. Contributes to moderately complex aspects of a project.     In this position, you will be a member of the TotalEnergies American Services (TEAS) entity . The primary responsibility of this position is to assist the Deputy General Counsel, Ethics and Compliance in providing legal support and risk prevention to TotalEnergies U .S. affiliates (including a rapidly expanding Renewables business) , as well as strategic planning and compliance program implementation and enhancements . Core subject matter areas and expertise needed for this position involve data privacy , general ethics and compliance matters as well as trade compliance .

    Ideal Education & Experience Requirements

    • Juris Doctorate Degree from law school accredited by the American Bar Association or foreign equivalent .
    • Licensed to practice law within Texas .
    • Five or more years of experience practicing law at a company , law firm or government agency , preferably including several of the following:
    • Experience with compliance program creation , implementation and continual improvement .
    • Expertise in data privacy laws (including GDPR, CCPA and other emerging U.S. laws) .
    • Knowledge of significant compliance laws (anti-bribery/anti-corruption laws (including FCPA, UK Antibribery Act and Sapin II), anti-trust and competition laws (U.S. and EU), human rights laws) .
    • Knowledge of trade compliance matters, including economic sanctions, export controls (including EAR, ITAR and licensing), import requirements, anti-boycott regulations, FTAs, FAR/DFARS, FTZs, supply chain security requirements such as CTPAT or AEO, UFLPA, duty drawback .
    • Strong oral and written communication skills .
    • Strong project management capability.
    • Ability to work independently on a wide range of projects and exercise judgment to make reasoned decisions.
    • Strong research and analytic capabilities; attention to detail.
    • Effective relationship management and influencing skills.

    • Familiarity with (or willingness to learn) compliance software tools used to manage hotline cases, due diligence, gifts and hospitality, conflicts of interest, and denied party screening.
    • Understanding of energy industry (particularly refining, petrochemicals and renewables) a plus.
    • This position interacts with executives , all levels of employees and contractors within the global TotalEnergies Company ( specifically with executives and managers within the U.S. ), as well as with external customers, regulators, consultants and outside counsel.

    Activities

    Principal Responsibilities

    • Advise and counsel TotalEnergies U.S. affiliates about ethics and compliance issues and queries; coordinate with global Legal and compliance teams , as well as various clients and departments throughout the organization .
    • Assist with management of the U.S. ethics and compliance functio n , with a primary focus on these areas:
    • Data Privacy
    • Anti-Bribery/ Anti-Corruption
    • Anti-Trust /Competition Law
    • Trade Compliance (Import, Export, Economic S anctions, Anti-Boycott)
    • Human Rights
    • Fraud Prevention
    • Key focus on further mapping and implementation of data privacy program and adaptation to local laws with a goal of ensuring compliance with laws and reducing the Company 's risk exposure and potential for penalties.
    • Serve as Data Privacy Liaison.
    • Continually seek out best practices and tools to make the compliance program more effective and efficient .
    • Create compliance communications, policies/procedures, web content and additional resources.
    • Develop and present training for all levels of the Company , including both U.S. and non-U.S. audiences, to increase awareness in the subject scope.
    • Participate in and assist with management of the compliance network (a group of Compliance Officers enforcing/advocating ethics and compliance throughout the local business units) .
    • Monitor and provide updates to management regarding compliance-related developments , status of compliance program and areas of concern .
    • Review , draft and negotiate compliance specific contract ual terms .
    • Help manage and create awareness of the third-party due diligence process, Compliance Hotline and annual gifts and hospitality and conflicts of interest reporting campaigns ; oversee and assist with investigations .
    • Assist with frequent compliance-related audits; conduct regular risk assessments and oversee any resulting action plans to foster continuous improvement and help avoid violations, fines and penalties .
    • Assist with proposed M&A and joint venture transactions including overall vetting, evaluating and monitoring ; conduct due diligence related to trade compliance, corruption and competition laws .
    • Participate in planning , implement ation , and manage ment of economic sanctions compliance program and import/export compliance program for the U.S. affiliates .
    • Help work with and advise trade compliance team on issues involving export controls, licensing, sanctions, human rights, trade data reviews, screening, classification, free trade agreements, import duties and restrictions, drawback , etc.
    • Help plan the TotalEnergies annual Business Ethics Day for the U.S. region .
    • Maintain ethics and compliance KPIs and participate in annual reporting requirements .
    • Work with and help manage outside counsel, principally in area of compliance .
    • Liaise with other legal department members on various compliance matters .
    • Help the Company demonstrate integrity, transparency and accountability to stakeholders.
    • A ssist in the development of compliance-related budget recommendations for the Legal Department ; seek out cost-savings opportunities.
    • Opportunity to p articipate in Legal Department pro bono, diversity and inclusion and/ or other initiatives as well as overall team building efforts .
    • Special projects as required .
